佣金协议书
This Commission Agreement (the "Agreement") is made and entered into on this ___ day of __________, 20___, by and between:
Party A: [Full Name or Company Name], with its principal office located at [Address], hereinafter referred to as "Party A".
Party B: [Full Name or Company Name], with its principal office located at [Address], hereinafter referred to as "Party B".
Whereas, Party A and Party B are entering into this Agreement to define the terms and conditions under which Party B shall act as a representative or agent for Party A in the sale of goods or services, and to determine the commission payable to Party B for such activities.
Now, therefore, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
1. Appointment
Party A hereby appoints Party B as an independent agent to promote, market, and sell the products or services of Party A. Party B agrees to perform such duties in accordance with the instructions and guidelines provided by Party A.
2. Scope of Authority
Party B shall have the authority to represent Party A in the following areas:
- Promotion and marketing of Party A's products or services
- Solicitation of potential customers or clients
- Negotiation of sales and contracts on behalf of Party A
- Providing customer service and support related to the products or services
However, Party B shall not have the authority to make binding commitments on behalf of Party A without prior written consent.
3. Commission Structure
Party A agrees to pay Party B a commission based on the following structure:
- Commission rate: ______% of the total sales generated by Party B
- Payment schedule: Monthly, within 15 days after the end of each month
- Minimum commission threshold: If the total sales generated by Party B in a month is less than ______, no commission will be paid for that month
4. Reporting and Records
Party B shall provide Party A with monthly reports detailing all sales activities, including but not limited to:
- Number of leads generated
- Sales closed
- Revenue generated
- Expenses incurred in the course of business
All records and documents shall be kept in good faith and available for audit upon request.
5. Termination
Either party may terminate this Agreement by providing a written notice of at least 30 days. Upon termination, Party B shall cease all activities on behalf of Party A and return any property belonging to Party A.
6. Confidentiality
Both parties agree to maintain the confidentiality of all information shared during the course of this Agreement, including but not limited to pricing, client lists, and business strategies.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in [City], [Jurisdiction].
8. Entire Agreement
